Terms & Conditions

Please read these Terms and Conditions carefully before using our website or engaging our services. By accessing softvisionsolution.com or entering into a service agreement with us, you agree to be bound by these terms.

These Terms and Conditions apply to Softvision Info Solutions Pvt. Ltd. (India) and Softvision Info Solutions Corp. (USA), collectively referred to as "Softvision", "we", "our", or "us". By using our website or services, you ("the Client" or "User") agree to these terms in their entirety.

Acceptance of Terms

By accessing or using the Softvision website at softvisionsolution.com, requesting a quote, signing a service agreement, or engaging our services in any way, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy.

If you do not agree with any part of these terms, you must not use our website or engage our services.

Softvision Info Solutions is a technology company providing custom software development, mobile application development, CRM systems, B2B marketplace platforms, fleet and asset tracking, ICMS, and related digital transformation services.

Use of Website

You agree to use our website only for lawful purposes and in a manner consistent with all applicable laws and regulations. You must not:

  • Use the website in any way that violates applicable local, national, or international laws or regulations
  • Transmit any unsolicited or unauthorised advertising or promotional material (spam)
  • Attempt to gain unauthorised access to any part of the website, its servers, or connected systems
  • Introduce viruses, trojans, worms, or other malicious or harmful code
  • Scrape, harvest, or collect data from our website without prior written consent
  • Reproduce, duplicate, copy, or resell any part of our website in violation of these terms

We reserve the right to restrict or terminate access to any user who violates these conditions without notice.

Services & Engagements

All service engagements are governed by a separate written agreement (Statement of Work, Service Agreement, or Contract) between Softvision and the Client. These Terms and Conditions apply in addition to, and not in substitution of, any such agreement.

Project scope: Work performed by Softvision will be as described in the agreed project scope. Any changes to scope must be agreed in writing and may affect timelines and costs.

Deliverables: Softvision will use commercially reasonable efforts to deliver agreed deliverables within the agreed timeframes. Delays caused by the Client (including delayed feedback, approvals, or content) will not be the responsibility of Softvision.

  • Softvision reserves the right to subcontract any part of the work to qualified third parties
  • All work is subject to quality review before delivery
  • Post-launch support and maintenance terms are specified in the service agreement
  • Softvision may use the completed project as a portfolio reference unless otherwise agreed in writing

Intellectual Property

Our content: All content on the Softvision website — including text, graphics, logos, images, code, and design — is the property of Softvision Info Solutions and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

Client deliverables: Upon full payment of all agreed fees, Softvision transfers ownership of bespoke deliverables (custom code, designs, content) created specifically for the Client to the Client, unless otherwise stated in the service agreement.

Third-party components: Where deliverables include third-party libraries, frameworks, or licensed components, those remain subject to their respective licences. Softvision will disclose any such components.

Softvision retains the right to use general knowledge, skills, and methodologies gained during any engagement for other client projects. Proprietary Client data and confidential business information remain the exclusive property of the Client.

Payment Terms

Payment terms are specified in the individual service agreement. Unless otherwise agreed:

  • A deposit (typically 30–50%) is required before project commencement
  • Milestone payments are due upon milestone completion and Client sign-off
  • Final payment is due before final delivery or go-live
  • Invoices are payable within 14 days of issue unless otherwise agreed
  • Overdue invoices may attract interest at 2% per month on the outstanding balance

Softvision reserves the right to suspend or withhold services and deliverables in the event of non-payment. All prices are exclusive of applicable taxes unless stated otherwise.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business plans, technical specifications, client data, pricing, and internal processes.

Confidentiality obligations survive the termination of any service agreement for a period of 3 years, unless a separate Non-Disclosure Agreement specifies a different period.

These obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Warranties & Disclaimers

Softvision warrants that services will be performed with reasonable skill and care in accordance with good industry practice. Softvision does not warrant that:

  • The website will be uninterrupted, error-free, or free of viruses or other harmful components
  • Any specific business outcomes or results will be achieved through use of our services
  • Third-party services, APIs, or platforms integrated into deliverables will remain available or unchanged

The website and its content are provided "as is" without any warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by applicable law.

Limitation of Liability

To the maximum extent permitted by applicable law, Softvision's total liability to the Client for any claim arising out of or in connection with our services shall not exceed the total fees paid by the Client to Softvision in the three months preceding the claim.

Softvision shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business opportunities
  • Damages arising from reliance on information on our website
  • Losses caused by third-party services, platforms, or data breaches outside our control

Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited by law.

Indemnification

The Client agrees to indemnify, defend, and hold harmless Softvision, its directors, employees, agents, and subcontractors from and against any claims, damages, losses, or expenses (including legal fees) arising from:

  • The Client's breach of these Terms and Conditions or any service agreement
  • The Client's use of deliverables in a manner not authorised or contrary to applicable law
  • Third-party claims arising from content, data, or specifications provided by the Client
  • Infringement of third-party intellectual property rights by Client-provided materials

Termination

Either party may terminate a service engagement by providing written notice as specified in the service agreement. In the absence of a specific agreement:

  • Client termination: The Client must pay for all work completed up to the termination date plus any committed third-party costs
  • Softvision termination for cause: Softvision may terminate immediately for material breach, non-payment, or unlawful use by the Client
  • Notice period: Unless terminating for cause, 30 days' written notice is required from either party

On termination, each party will return or destroy the other's confidential information, subject to legal retention requirements.

Third-Party Links & Services

Our website may contain links to third-party websites and our services may integrate third-party tools, APIs, or platforms (e.g., payment gateways, cloud services, mapping APIs). Softvision is not responsible for the content, availability, or practices of any third-party services.

Use of third-party services within any deliverable is subject to those third parties' own terms of service, and the Client accepts responsibility for ensuring compliance with applicable third-party terms in their use of the delivered product.

Governing Law

For clients in India, these Terms and Conditions are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

For clients in the United States, these Terms and Conditions are governed by the laws of the Commonwealth of Kentucky, USA. Any disputes shall be subject to the exclusive jurisdiction of courts in Louisville, Kentucky.

For clients in other jurisdictions, the parties agree to negotiate in good faith to determine the applicable governing law and jurisdiction.

Dispute Resolution

In the event of any dispute arising out of or relating to these Terms and Conditions or any service agreement, the parties agree to:

  1. Good-faith negotiation — Parties will attempt to resolve the dispute through direct negotiation within 30 days of written notice
  2. Mediation — If negotiation fails, the parties agree to attempt mediation through a mutually agreed mediator
  3. Arbitration or litigation — If mediation is unsuccessful, disputes may be referred to binding arbitration or litigation in the applicable jurisdiction

Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.

Changes to These Terms

Softvision reserves the right to update these Terms and Conditions at any time. When changes are made, we will update the "Last Updated" date at the top of this page. For significant changes, we may notify registered clients by email.

Continued use of our website or services after changes are posted constitutes acceptance of the revised terms. We recommend reviewing this page periodically.
